Agreement Document for Africa Prime Funding Grants

This Agreement (the “Agreement”) is entered into between Africa Prime Funding Grants (hereinafter referred to as “APFG”), a reputable grant funding organization, and the grant recipient (hereinafter referred to as the “Grantee”), an eligible organization or individual seeking financial support for a specific project or initiative. Collectively, APFG and the Grantee are referred to as the “Parties”.

  1. Grant Details: a. Grant Title: This section includes the official title or name given to the grant, which helps identify the specific funding opportunity. b. Grant Amount: The agreed-upon monetary value that APFG will provide to the Grantee for the successful implementation of the proposed project. c. Grant Period: The duration or timeframe during which the Grantee is expected to complete the project and utilize the grant funds. d. Project Location: The geographical location or locations where the project activities will be carried out. e. Project Description: A brief but comprehensive overview of the project, including its objectives, expected outcomes, target beneficiaries, and the problem or need it aims to address.
  2. Purpose: The purpose of this Agreement is to establish a formal relationship between APFG and the Grantee, outlining the terms and conditions under which APFG will provide financial support to the Grantee for the implementation of the specified project. It serves as a legally binding document that governs the rights, responsibilities, and obligations of both Parties.
  3. Grant Conditions: This section defines the specific conditions and requirements associated with the grant, including: a. Intended Use of Funds: The Grantee is obligated to use the grant funds solely for the purposes outlined in the approved project proposal. Any deviation from the approved project scope requires prior written approval from APFG. b. Compliance: The Grantee must comply with all applicable laws, regulations, and ethical standards during the project implementation. This includes adherence to local legal requirements, environmental regulations, and any specific guidelines or conditions set forth by APFG. c. Reporting Obligations: The Grantee is required to submit regular progress reports, financial statements, and other documentation as specified by APFG. These reports provide updates on the project’s progress, achievements, challenges, and the overall impact of the grant funds. d. Financial Accountability: The Grantee must maintain accurate financial records and provide detailed documentation of grant expenditures upon request. APFG reserves the right to audit the financial records to ensure proper utilization of the grant funds. e. Changes and Amendments: Any changes to the project scope, activities, or budget must be communicated to APFG in writing and receive prior approval. APFG may request additional information or documentation to assess the impact and feasibility of the proposed changes.
  4. Grant Disbursement: This section outlines the process and schedule for the disbursement of the grant funds to the Grantee. It includes: a. Installments: The grant amount may be disbursed in one or multiple installments, depending on the agreed-upon terms. The specific disbursement schedule will be communicated to the Grantee. b. Financial Reporting: The Grantee is required to submit invoices or financial reports to APFG for each installment, documenting the utilization of funds and providing transparency in financial transactions. c. Withholding of Funds: APFG reserves the right to withhold or adjust grant disbursements if the Grantee fails to meet reporting requirements, demonstrates non-compliance, or fails to make satisfactory progress in the project implementation.
  5. Reporting and Monitoring: To ensure transparency and accountability, the Grantee is obliged to provide regular progress reports and financial statements to APFG. This section specifies: a. Reporting Schedule: The frequency and deadline for submitting progress reports and financial statements. b. Reporting Format: The specific format and structure for the progress reports and financial statements, including the required information and documentation. c. Monitoring Visits: APFG may conduct monitoring visits or request additional information to assess the progress, effectiveness, and impact of the project. These visits aim to ensure that the grant funds are being utilized appropriately and in accordance with the agreed-upon project objectives.
  6. Intellectual Property: This section addresses the ownership and rights to any intellectual property that may arise from the funded project. It includes: a. Ownership: Unless otherwise agreed upon in writing, any intellectual property rights arising from the project shall be the property of the Grantee. b. Acknowledgment: The Grantee may be required to acknowledge APFG’s support in project-related publications, presentations, or other forms of dissemination.
  7. Confidentiality: Both Parties agree to maintain the confidentiality of any sensitive or proprietary information disclosed during the grant application and implementation process. This section includes: a. Confidentiality Obligation: The Grantee shall not disclose any confidential information shared by APFG to third parties without prior written consent. b. Duration: The confidentiality obligation extends beyond the duration of the grant agreement and remains in effect even after its termination.
  8. Indemnification: The Grantee shall indemnify and hold APFG harmless from any claims, damages, or liabilities arising from the project or the Grantee’s actions. This section establishes: a. Indemnification Obligation: The Grantee assumes responsibility for any legal or financial consequences resulting from their actions, negligence, or non-compliance with laws and regulations.
  9. Governing Law and Jurisdiction: This section specifies the governing law and jurisdiction that will apply in the event of disputes or conflicts arising from the grant agreement. It includes: a. Governing Law: The laws of the relevant jurisdiction where the grant is offered will govern the interpretation and enforcement of the agreement. b. Jurisdiction: The exclusive jurisdiction of the courts in the relevant jurisdiction is established for the resolution of any disputes.
  10. Entire Agreement: This section states that the Agreement constitutes the entire understanding between the Parties and supersedes any prior discussions, negotiations, or agreements, whether written or oral, relating to the subject matter.
  11. Amendments: Any amendments or modifications to the Agreement must be made in writing and require the mutual consent and signature of both Parties.
